1. Agreement to Terms

By accessing or using the OldSport.io website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Services

OldSport.io provides AI-accelerated software consulting services, including but not limited to MVP development, web and mobile application development, AI integration, and technical strategy consulting. The specific scope, deliverables, and timeline for each engagement will be outlined in a separate project agreement or statement of work.

3. Engagement Process

Our consulting engagements begin with a discovery call to understand your project needs. Following the discovery call, we will provide a proposal outlining the scope of work, timeline, and pricing. Work commences only upon mutual agreement and execution of a project agreement.

4. Payment Terms

• Payment terms, including rates, milestones, and schedules, will be specified in the project agreement for each engagement.
• Unless otherwise agreed, invoices are due within 14 days of issuance.
• Late payments may be subject to a fee of 1.5% per month on the outstanding balance.

5. Intellectual Property

• Client Work: Upon full payment, all custom code, designs, and deliverables created specifically for your project will be assigned to you, unless otherwise specified in the project agreement.
• Pre-existing Materials: We retain ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the delivery of services. You are granted a non-exclusive, perpetual license to use such materials as part of your deliverables.
• OldSport.io Brand: The OldSport.io name, logo, and branding are our exclusive property and may not be used without written permission.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement for a period of two (2) years, unless otherwise agreed in writing.

7. Client Responsibilities

To ensure successful delivery, you agree to:

• Provide timely feedback and approvals as outlined in the project agreement.
• Supply necessary access, credentials, and information required for the project.
• Designate a primary point of contact for communication throughout the engagement.

8. Limitation of Liability

To the maximum extent permitted by law, OldSport.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. Our total liability shall not exceed the total amount paid by you for the specific engagement giving rise to the claim.

9. Warranty Disclaimer

Our services are provided "as is" and "as available." While we strive for excellence, we do not guarantee that deliverables will be error-free. We will address any bugs or issues identified within a reasonable warranty period as specified in the project agreement.

10. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, you will be responsible for payment for all work completed up to the date of termination. Any completed deliverables will be transferred to you upon full payment.

11. Website Use

• You may not use our website for any unlawful or unauthorized purpose.
• You may not attempt to interfere with or compromise the integrity or security of our website.
• Content on this website is for informational purposes and does not constitute a binding offer.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised terms.
